Goglio acquires Cristal Embalagens

The transaction strengthens the Group's manufacturing footprint in Brazil. Significant synergies are expected in sectors such as food, coffee and pet food through product development, technology and operational efficiency.

Goglio, a leading global provider of flexible packaging solutions, announces the acquisition, through its Brazilian subsidiary Mega Goglio, of 100% of Cristal Embalagens, a company specializing in the production of flexible packaging headquartered in Morro da Fumaça, Santa Catarina State, Brazil.

Founded in 1999, Cristal Embalagens, which reported net revenues of BRL 345 million in 2025, specializes in the development and production of flexible packaging for a wide range of industries, including cereals, pet food, bakery products, and personal and home care. Over more than 27 years of operation, the company has established itself as a benchmark in the sector through continuous investments in technology, innovation, quality and sustainability. Today it employs 570 people and operates a manufacturing facility with 20,700 m² of built-up area on a total site of 254,000 m², developing packaging solutions that provide protection, convenience and added value for customers' products.

The acquisition will generate significant synergies by combining complementary expertise and strengthening manufacturing capabilities. In particular, Goglio's leadership in the coffee sector will be further reinforced through an expanded industrial presence in Brazil—a strategic country for the global coffee supply chain and the world's largest producer of green coffee. The Group has maintained a commercial presence in Brazil for approximately 15 years and established local manufacturing operations in 2023 through the acquisition of Mega Embalagens (now Mega Goglio). At the same time, the integration with Cristal Embalagens will broaden the Group's portfolio of flexible packaging solutions for high-growth sectors, including pet food, leveraging complementary expertise and creating new opportunities for international market development.

Upon completion of the transaction, Mega Goglio will assume full ownership and control of Cristal Embalagens.

"The acquisition of Cristal Embalagens marks another important milestone in Goglio Group's international growth strategy and further strengthens our development plans in the strategically important Brazilian market. By integrating complementary expertise, manufacturing capabilities and know-how, we will expand our portfolio of flexible packaging solutions while continuing to invest in technology, quality and environmental sustainability—values that have always guided our growth. This transaction further consolidates our presence in Latin America and enhances the Group's global competitiveness, enabling us to be even closer to our customers and support their growth with increasingly efficient and responsible solutions," said Franco Goglio, Chairman and Chief Executive Officer of Goglio S.p.A. - "We are particularly pleased to continue this journey alongside the Graf/Wallauer family. Over the years we have built a relationship based on genuine collaboration and mutual trust, which is translating into outstanding results for our growth in Brazil."
